Terms of Service

01Acceptance & scope

These Terms of Service (the "Terms") are an agreement between you and Hangzhou Reache Digital Technology Co., Ltd. (the "we" or "REACHE") regarding your use of the REACHE app and related services (the "Service").

Before you register, log in, or use the Service, please read and fully understand all of these Terms, especially the bolded clauses on exclusion or limitation of liability, dispute resolution, and governing law. By checking acceptance, completing registration, or starting to use the Service, you confirm that you have read, understood, and agreed to be bound by these Terms.If you do not agree to any part of these Terms, please do not register for or use the Service.

These Terms, together with the Privacy Policy and related rules we publish from time to time, constitute the complete agreement governing your use of the Service.

02Eligibility & minors

You confirm that, when using the Service, you have the legal capacity appropriate to the actions you take.

• Minors: if you are under 18, you should read these Terms with the accompaniment and consent of a guardian, and use the Service under their guidance.
• If you do not have full legal capacity, your use of the Service should be approved in advance by your guardian.
• We take the protection of minors seriously. Specific rules for processing minors' information are set out in the relevant section of the Privacy Policy.

03Account registration & security

You need to register an account (e.g., by phone number) to use the full functionality of the Service. You agree to:

• provide truthful, accurate, and complete registration information, and to update it promptly when it changes.
• safeguard your account and login credentials and take responsibility for all activity under your account. The account is for your personal use only and may not be transferred, lent, or sold.
• notify us immediately if you discover unauthorized use of your account or a security vulnerability.

Losses caused by your failure to safeguard your account are borne by you; to the extent permitted by law, we are not liable for account security issues not caused by our fault.

04Service content

REACHE is an AI companion that helps you run real life. The Service may include, but is not limited to:

• Intelligent dialogue & companionship: text and voice conversation, real-time call-style interaction.
• Schedules & reminders: understanding your plans and helping create, look up, and adjust schedules and to-dos.
• Knowledge network & memory: within the scope you authorize, remembering facts, preferences, and history relevant to you so it understands you better.
• Social & collaboration: features such as friends, invitations, and itinerary sharing.

We may, from time to time and as operations require, add, adjust, or discontinue certain features. The actual features available in the app prevail.

Usage & fair use

To protect service quality for all users and support stable, sustainable operation of the Service, we set reasonable ranges for per-account resource use.

• AI feature usage: different account types, including free accounts and member accounts, may receive different AI usage allowances, as displayed in the app. Free accounts receive a base allowance for everyday use; member accounts receive more generous allowances. Once an allowance is reached, the relevant feature may enter a more basic response mode or pause for the remainder of the current cycle, and will resume automatically in the next cycle.
• Cloud storage usage: each account receives a base amount of cloud storage, which may be expanded through corresponding entitlements and is used to store your images, notes, and similar content. Once the storage limit is reached, new uploads may be blocked, and deleting existing content can free up space.
• The above allowances and ranges may change as the product evolves and operational conditions change. We will communicate adjustments through in-app notices or announcements.

05Special notice on AI-generated content

• The Service does not provide medical, legal, financial, investment, tax, or other professional advice; for important decisions in these areas, please consult a qualified professional.
• REACHE will not make decisions of major impact on your behalf; whether to adopt the AI's suggestions or perform an action is ultimately your judgment and decision.
• For information that needs verification (such as times, prices, tickets, or opening status), we recommend you confirm it yourself before acting.
• REACHE will not impersonate a real person, nor falsely claim to have completed an action it has not; however, you remain responsible for actions you take based on AI content and their consequences.

06Code of conduct

You agree to comply with laws, regulations, and these Terms when using the Service, and must not use the Service to engage in any of the following:

• creating, uploading, or disseminating content that violates laws or regulations, endangers national security or public interest, or contains violence, obscenity, gambling, fraud, hatred, or infringement;
• infringing others' intellectual property, privacy, reputation, likeness, or other lawful rights;
• harassing, threatening, defaming, or impersonating others, or collecting or disclosing others' information without consent;
• inducing the AI to generate illegal or harmful content, or attempting to bypass the Service's safety and content mechanisms;
• performing reverse engineering, decompilation, scraping, bulk crawling, attacks, interference, or abuse of interfaces against the Service, or abnormally consuming resources through automated means;
• engaging in any act that harms the normal operation of the Service or the lawful rights of us or other users.

If you violate the above, we may, depending on the circumstances, take measures such as warnings, restricting or suspending features, or terminating the Service, and we reserve the right to pursue legal liability.

No resource abuse

You should use the Service within a normal and reasonable range. You must not abnormally or maliciously occupy or consume the Service's features and resources, including but not limited to:

• using scripts, automation, or bulk or high-frequency requests to farm or occupy service resources;
• using the Service as a general-purpose interface or bulk processing tool, or exploiting its capabilities through resale or redistribution;
• circumventing, cracking, or attempting to bypass usage management, authentication, or risk-control mechanisms;
• consuming resources in a concentrated or abnormal manner that clearly exceeds normal usage patterns.

We may monitor for abnormal usage. Upon a first detection, we will notify you through an in-app prompt; if the behavior continues after notice or recurs, we may suspend or terminate your use of the Service, including banning the account, and reserve the right to pursue remedies under law.

No harassment or harm to others

Within any user-to-user features provided by the Service, such as friends or messaging, you must not:

• send harassing, abusive, threatening, spam, unlawful, or otherwise harmful content to other users;
• send high-frequency or bulk messages to others or to non-friends without consent;
• impersonate others, steal accounts or information, or otherwise infringe other users' lawful rights.

We provide reporting and monitoring mechanisms. For a first confirmed violation, we will issue a warning; for a repeat violation, we may ban the account directly, and may refer serious cases to authorities as required by law.

User code of conduct & zero-tolerance policy

REACHE maintains a zero-tolerance policy toward objectionable content and abusive behavior. Within user-to-user features (such as friends and messaging), you must not post, send, or distribute harassing, abusive, threatening, discriminatory, pornographic, violent, gory, unlawful, or otherwise objectionable content, nor engage in abuse, bullying, or harm toward other users. By continuing to use the Service, you acknowledge and agree to this code of conduct.

To protect all users, we provide and commit to the following content-safety mechanisms:

• Content filtering: messages undergo automated safety screening that blocks unlawful and objectionable content;
• Report content: you can long-press any message to report that content;
• Report users: you can report a user who abuses or harasses you from the chat menu;
• Block users: you can block or unblock any user from the chat menu; once blocked, that user's content is immediately hidden from you;
• Response time: we review reports within 24 hours, remove violating content, and ban offending users.

07User content & intellectual property

Intellectual property of the Service

The intellectual property in the Service and its related software, interfaces, trademarks, logos, text, and icons (including REACHE's proprietary icon system) belongs to us or the respective rights holders. You may not use, copy, modify, or distribute them without permission.

Your content

The content you create or provide while using the Service (such as conversations, schedules, and notes) remains yours.

To provide the Service to you (e.g., storage, processing, reply generation, cross-device sync, and feature improvement), you grant us a non-exclusive license necessary to achieve the above purposes, to process your content within the scope set out in the Privacy Policy. We will not use your private content for purposes beyond that agreement.

08Membership, payment & referral rewards

• Paid membership: some features may require a membership subscription. The specific prices, benefits, and billing cycles shown on the purchase page prevail.
• Auto-renewal: if you enable auto-renewal, the system will charge as agreed before each billing cycle ends; you may turn off auto-renewal anytime in the app store or account settings. Turning it off does not affect the cycle already purchased.
• Refunds: once a virtual service is activated, it is generally non-refundable unless otherwise required by law or promised by us; for purchases made through a third-party app store, refunds follow that store's rules.
• Referral rewards: reward rules for activities such as inviting friends are as described on the activity page. Rewards are for normal use only and may not be obtained through false registration, fraudulent volume, or other improper means; we reserve the right to revoke rewards obtained in violation.

Membership tiers

The Service offers membership subscriptions that unlock more generous usage allowances and benefits. A Pro membership tier is currently available; we may, based on user demand and operational conditions, introduce higher-allowance tiers in the future. The specific benefits, pricing, and allowances of each tier are as displayed in the app, and we reserve the right to adjust tiers and benefits with advance notice.

09Privacy protection

We collect, use, store, and protect your personal information in accordance with the Privacy Policy, which is an integral part of these Terms. Please read the full Privacy Policy for details, including how we process your information, third-party processors, and your rights to access, correct, delete, and withdraw consent.

10Disclaimers & limitation of liability

To the maximum extent permitted by law:

• The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, absolutely secure, or fully meet your expectations.
• We are not liable, to the extent we are not at fault, for service limitations or data issues caused by force majeure, network failures, third-party service (such as models, cloud services, or carriers) anomalies, device problems, or your own causes.
• For decisions you make based on AI-generated content and their consequences, and for losses caused by your breach of these Terms or of laws and regulations, you bear responsibility yourself.
• To the extent permitted by applicable law, our total liability to you is limited to the fees you actually paid for the relevant service.

These clauses do not exclude or limit liability that cannot be excluded or limited by law (such as personal injury caused by intent or gross negligence).

11Changes, suspension & termination

• We may change, suspend, or terminate all or part of the Service for operational, technical, security, or compliance reasons, and will give advance notice by appropriate means (except in emergencies).
• You may stop using the Service and delete your account at any time. The deletion process and data handling are described in the Privacy Policy and the in-app "Data" settings.
• After account deletion or service termination, we will handle your personal information in accordance with the law, except where retention is required by laws and regulations.

Risk control and enforcement

To maintain service security and protect all users, we may, based on automated monitoring and human review, apply measures ranging from prompts, feature limits, and service suspension up to account bans for accounts that:

• abnormally or maliciously occupy or consume service resources;
• harass or harm other users, or post unlawful or otherwise harmful content;
• steal accounts, register accounts in bulk, evade risk controls, or otherwise violate these Terms.

For situations involving security risks or illegality, we may take necessary measures without prior notice and will inform you of the reason within a reasonable scope. If you disagree with the measure, you may appeal through the contact method in §14.

12Governing law & dispute resolution

The formation, validity, interpretation, performance, and dispute resolution of these Terms are governed by the laws of mainland China (excluding conflict-of-law rules).

Disputes arising from these Terms or the Service should first be resolved through friendly negotiation; if negotiation fails, either party may bring a lawsuit to the competent People's Court at our location (Hangzhou, Zhejiang).

13Amendments & notices

We may revise these Terms from time to time. Revised Terms will be published in the app or on the official website; for changes affecting your material rights, we will remind you prominently (e.g., via pop-up or notification).

After a revision takes effect, your continued use of the Service constitutes acceptance of the revisions; if you disagree, you should stop using the Service and may delete your account.
